NDA – Non-Disclosure Agreement

NON-DISCLOSURE AGREEMENT
This Agreement is entered into as of [Insert Date] by and between:
TradeCon Pavillion LLC, a Wyoming limited liability company, with its principal office at [Insert Address] (“Party A”),
and
[Insert Client/Partner Name], with a place of business at [Insert Address] (“Party B”).
Collectively referred to as the “Parties”.
1. Purpose
The Parties intend to exchange certain confidential and proprietary information (“Confidential Information”) to evaluate and/or engage in a potential business relationship involving services related to procurement, IT, or marketing.
2. Definition of Confidential Information
“Confidential Information” includes, but is not limited to:
- Business processes, strategies, pricing, and financial information
- Technical data, source code, prototypes
- Marketing plans, customer lists, and negotiations
- Any documents marked as “confidential” or shared orally and confirmed in writing
3. Obligations of Confidentiality
Each Party agrees to:
- Keep all Confidential Information strictly confidential
- Use it solely for the purpose stated in this Agreement
- Not disclose it to any third party without written consent
- Take reasonable security precautions to protect the information
4. Exceptions
Confidential Information does not include information that:
- Was publicly known at the time of disclosure
- Is disclosed by a third party lawfully
- Is independently developed without breach
- Must be disclosed under law or court order (with prior notice)
5. Term
This Agreement remains in effect for 2 years from the Effective Date, and confidentiality obligations remain in force for 3 years after disclosure.
6. No License or Obligation
Nothing in this Agreement grants a license or implies an obligation to proceed with any transaction.
7. Governing Law
This Agreement is governed by the laws of the State of Wyoming. Jurisdiction shall lie in the District Court of Laramie County, Wyoming.
