General Terms and Conditions of Service
TradeCon Pavillion LLC
Effective Date: july 1, 2025
These General Terms and Conditions (“Terms”) apply to all services and business relationships between TradeCon Pavillion LLC, a limited liability company registered in the State of Wyoming (“TradeCon”, “we”, “us”, or “our”), and its clients or business partners (“Client”, “you”, or “your”), unless otherwise agreed in writing.
1. Scope of Services
TradeCon Pavillion LLC provides the following intermediary and consulting services:
- Sourcing and procurement of goods
- Brokerage and facilitation of IT and marketing services
- Business development, B2B matchmaking, and process coordination
The exact scope, timelines, and deliverables shall be defined in individual contracts, project briefs, or purchase orders confirmed in writing.
2. Engagement & Obligations
2.1. Client Obligations
The Client agrees to:
- Provide accurate and complete information relevant to the scope of work
- Cooperate with TradeCon and third-party service providers
- Make timely decisions and approvals when required
2.2. TradeCon Obligations
TradeCon agrees to:
- Perform the services with reasonable care and skill
- Act in good faith and in the Client’s interest when negotiating with third parties
- Inform the Client about any relevant changes or delays in a timely manner
3. Fees and Payment
- Prices and fees are specified in separate quotes, proposals, or written agreements
- Unless otherwise agreed, payment is due within 14 days of the invoice date
- TradeCon reserves the right to require advance payment or retainers for larger engagements
- Late payments may incur interest at 1.5% per month or the maximum allowed by Wyoming law
4. Use of Third Parties
TradeCon may subcontract or delegate certain services (e.g., IT development, logistics, creative work) to verified third-party providers. The Client will be informed and may, upon request, receive basic details about such subcontractors.
5. Intellectual Property
- Any intellectual property created by TradeCon during service delivery remains property of TradeCon until full payment is received
- Client may receive a non-exclusive, non-transferable license to use the delivered content or results for their business
- If the Client provides their own content (e.g., branding, images, texts), they warrant they have the rights to use and share it
6. Confidentiality
Both parties agree to keep all confidential or proprietary information strictly confidential and not to disclose it to any third party without prior written consent.
This obligation shall survive termination of the cooperation for 5 years.
7. Limitation of Liability
To the maximum extent permitted under Wyoming law, TradeCon shall not be liable for:
- Loss of profit or indirect, incidental, or consequential damages
- Delays or non-performance due to third parties, force majeure, or regulatory restrictions
- Any damages exceeding the amount paid by the Client in the last 90 days
8. Term and Termination
Either party may terminate cooperation:
- For convenience with 15 days’ written notice, unless a specific project or order states otherwise
- Immediately if the other party commits a material breach and fails to remedy it within 10 days
Upon termination, the Client shall pay for all services rendered and costs incurred up to the termination date.
9. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively by:
- District Court of Laramie County, WY, or
- U.S. District Court for the District of Wyoming
- Miscellaneous
- These Terms may be supplemented by a project-specific agreement or service contract
- Amendments or waivers must be in writing
- If any part of these Terms is deemed unenforceable, the rest remains in effect
- Nothing herein creates an employment, partnership, or agency relationship
